Offshore Company Formation in the UAE

A UAE offshore company is a holding and international trading vehicle — no UAE office, no visas, no local trade. We tell you honestly whether it fits before you pay for anything.

An offshore company in the UAE is not a smaller version of a free zone company. It is a separate kind of vehicle with a narrow job: holding assets, owning shares in other companies, invoicing international clients and keeping ownership structures clean. It cannot trade inside the UAE market and it does not come with residence visas.

That limitation is the whole point. Because an offshore company has no office and no staff, it costs a fraction of an onshore setup and can usually be registered without you flying to the UAE. This guide covers the three jurisdictions that matter — JAFZA, RAK ICC and Ajman — and what each one is actually good for.

Why Companies Use a UAE Offshore Structure

Offshore suits a specific set of jobs. These are the ones clients come to us for:

Holding company for group structures

Own shares in your operating companies through one clean entity, which makes ownership changes and future investment far easier to document.

Owning UAE property

JAFZA and RAK ICC companies can hold freehold property in approved Dubai developments, which is the single most common reason clients pick one over the other.

Asset protection

Assets sit under a separate legal person rather than your personal name, giving a layer of separation between business risk and personal wealth.

International invoicing

Bill clients outside the UAE without registering an onshore company, useful for consultants and traders with no UAE customers.

Confidentiality

Shareholder registers are not published the way they are in many onshore registries, though banks and regulators still see everything.

Low running cost

No office rent, no visa fees, no establishment card — annual renewal is the main recurring cost.

JAFZA vs RAK ICC vs Ajman Offshore

All three are UAE offshore registries, but they are not interchangeable. The differences below decide the choice in most cases:

What an Offshore Company Can and Cannot Do

More setups go wrong here than anywhere else, so it is worth being blunt about the limits:

Can do

Hold shares in other companies, own approved UAE property, open a corporate bank account, invoice international clients, own intellectual property and act as a group holding entity.

Allowed

Cannot do NOT ALLOWED

Trade with customers inside the UAE, rent an office in the UAE, sponsor residence visas, or obtain a labour card for staff.

Not allowed

Common mistake

Buying offshore expecting a visa. If you need UAE residence, you need a free zone or mainland company — offshore will not get you there.

Watch out

Documents Needed for Offshore Registration

Offshore paperwork is lighter than onshore, but banks look at it more closely:

Passport copies

Clear colour copies for every shareholder and director, valid at least six months.

Proof of address

A utility bill or bank statement in the shareholder’s name, usually not older than three months.

Bank reference letter

A letter from your existing bank confirming the relationship. Registries and UAE banks both ask for this.

CV or profile

A short professional background for each shareholder, used in bank compliance rather than registration.

How Offshore Registration Works

  1. Confirm offshore is the right fit. If you need UAE trade, an office or visas, stop here — offshore is the wrong vehicle and we will say so.
  2. Pick the jurisdiction. Property ownership plans usually decide this: JAFZA or RAK ICC if property is involved, Ajman if it is a simple holding structure.
  3. Reserve the company name. Offshore naming rules are stricter than onshore; words implying banking, insurance or government links are rejected.
  4. Prepare and sign incorporation documents. Memorandum and articles are drafted, then signed by shareholders — in person or through a registered agent depending on jurisdiction.
  5. Registry issues the certificate. Certificate of incorporation, share certificates and company documents are issued once the registry approves.
  6. Open the bank account. This is the slow part, not registration. Bank compliance decides the real timeline.

Offshore Company Cost in the UAE

Offshore is the cheapest UAE structure to register, but the total depends on:

FACTOR 01

Jurisdiction

JAFZA sits well above RAK ICC and Ajman on both registration and renewal.

FACTOR 02

Registered agent fee

Offshore companies must be registered through a licensed agent; that fee is separate from the registry fee.

FACTOR 03

Share capital structure

Standard structures are cheapest; unusual share classes or many shareholders add drafting cost.

FACTOR 04

Document attestation

Corporate shareholders need attested documents from the home country, which adds both cost and weeks.

FACTOR 05

Bank account assistance

Account opening is a separate service and the effort varies enormously by nationality and business type.

Because costs move so much with activity and visa count, a generic price range helps nobody. Send us your activity and headcount and we will put together a full written cost breakdown.

Frequently Asked Questions

Can an offshore company get UAE residence visas?
No. Offshore companies carry no visa quota at all. If residence is the goal, you need a free zone or mainland company. Anyone telling you otherwise is either confused or selling you the wrong thing.
Can an offshore company trade inside the UAE?
No. It cannot sell to UAE customers, hold a UAE trade licence for local activity or rent local premises. It can invoice clients outside the UAE freely.
Can an offshore company own property in Dubai?
JAFZA and RAK ICC companies can own freehold property in approved developments. Ajman offshore cannot. If property is the reason for the structure, this decides the jurisdiction.
How long does offshore registration take?
Registration itself is usually quick once documents are complete. The bank account is the real timeline and can take considerably longer, depending on the bank’s compliance review.
Is a UAE offshore company tax-free?
It is not automatically outside tax. UAE corporate tax rules and your own country’s residence and reporting rules both matter. Take proper tax advice for your specific situation rather than relying on a general claim.
